Terms of Service

1. Acceptance of Terms

By accessing or using the PBridge platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Platform. These Terms apply to all users including freelancers, clients, businesses, and individuals.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use PBridge. By creating an account, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and complete.

3. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify PBridge immediately of any unauthorized use of your account. PBridge reserves the right to suspend or terminate accounts that violate these Terms.

4. Platform Services

PBridge provides a marketplace connecting freelancers with clients — both businesses and individuals. Our services include job posting, proposal submission, project management tools, secure escrow payments, messaging, and job board listings. PBridge is not a party to the contracts between freelancers and clients and does not guarantee the quality, safety, or legality of services offered.

5. Payments & Fees

All payments on PBridge are processed in Nigerian Naira (₦) through our secure escrow system. Clients fund projects before work begins, and funds are released to freelancers upon project approval. 6. User Conduct

You agree not to: use the Platform for any unlawful purpose; post false, misleading, or fraudulent content; harass, threaten, or abuse other users; attempt to circumvent escrow payments; create multiple accounts to manipulate reviews or ratings; scrape, copy, or harvest data from the Platform; or upload malicious software or content. Violations may result in immediate account suspension or termination.

7. Intellectual Property

Unless otherwise agreed in writing between the freelancer and client, upon full payment for a project, intellectual property rights for the deliverables transfer from the freelancer to the client. PBridge retains all rights to the Platform itself, including its design, code, branding, and content. Users retain ownership of their profile content, portfolio items, and original materials uploaded to the Platform.

8. Dispute Resolution

In the event of a dispute between a freelancer and client, PBridge provides a mediation process. Both parties agree to first attempt resolution through our built-in dispute system before pursuing external legal action. PBridge's mediation decisions regarding escrow fund releases are binding within the context of the Platform. For disputes not resolved through mediation, both parties agree to binding arbitration under the laws of the applicable jurisdiction.

9. Limitation of Liability

PBridge is provided "as is" and "as available." To the fullest extent permitted by law, PBridge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform. PBridge's total liability shall not exceed the amount of fees paid by you to PBridge in the twelve months preceding the claim.

10. Termination

PBridge reserves the right to suspend or terminate your account at any time for violation of these Terms or for any reason at our sole discretion. You may also delete your account at any time. Upon termination, your right to use the Platform ceases immediately. Any funds held in escrow will be handled according to our Escrow Policy.

11. Modifications to Terms

PBridge may update these Terms from time to time. We will notify users of material changes via email or through the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal proceedings shall be conducted in the courts of Lagos State, Nigeria. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
